Exhibitor agrees to
conduct privilege granted by this contract
without infringement
upon the rights of other, not to handle or sell
any commodity on the
Expo site other than production ag inputs
expressly stipulated in
the contract and will confine all operations
to the space and
privilege as herein set out. This contract, or any
part thereof, cannot be
assigned or other disposed with the written
endorsement of the Expo
upon the face of the same. Subletting of
any part of space herein
granted is not permissible. All exhibits must
be staffed during
published exhibit hours.
Exhibitor agrees to
leave the premises and property covered by
this contract in the
same condition as when the exhibitor took
possession. Exhibitors
may not conduct activity of any kind that
leads to congestion of
aisle traffic or disturbs neighboring exhibitors.
No loud speaker,
amplifier, radio, strobe lights or other undignified
methods of attracting
attention are permitted, except with written
permission from the
Expo. No fans, misters, noisy pumps or other
similar devices are
allowed to operate in any indoor location without
written permission from
the Expo. Live animals are not allowed
in inside commercial
exhibit space. No activity can be conducted
outside of the
contracted exhibit space, including handouts,
solicitations,
presentations or mascots. Aisles are to remain complete
free of obstructions and
not put to commercial use in any way by any
exhibitor.
100% refunds due to
cancellation of booth space is available until
Jan. 1; 50% refunds are
available from Jan. 1 to Feb. 1; no refunds
are available after Feb.
1. Any space assigned and not occupied by the
start of the Expo, will
cause forfeiture of all deposited moneys and
fees. In the event of
cancellation of the Expo due to weather or other
acts of God, no refunds
are guaranteed. No exhibit or part of any
exhibit may be
dismantled, torn down or removed from the assigned
exhibit space until 4
p.m. Thursday or as directed by Expo staff,
except in emergency,
upon which written release must be obtained
from the Expo. All
exhibitor material must be removed from the
Convention Center by
midnight the day Expo closes. All exhibitor
equipment and materials
must be removed from the parking lot
exhibit space by noon
the day following the close of the Expo. The
Exhibitor will remain
responsible for all property left on the Expo
grounds and will be held
liable for any personal injury, property
damage, fines, removal
fees, storage fees and disposal costs caused by
the abandoned property.
Cash sales are allowed;
sales are subject to South Dakota state sale
tax. Written permission
must also be obtained to sell any item
featuring words, “Central Plains
Dairy Expo” or its logo or any service mark.
All food distributions or sales must
be approved by the
Expo. The sale of
distribution of intoxicating beverages or tobacco
is prohibited. No items
may be sold by a competitive bid process
(auction) without
written consent from the Expo. No helium
balloons, stickers or
potentially dangerous or nuisance items may be
handed out.
Relocation
Expo reserves the right
to relocate any exhibitor before and/or during
the show. Exhibitor
reserves the right to decline relocation, thus
terminating this
contract and lease.
Liability
Expo is not liable for
loss or damage to any exhibitor or property
of the exhibitor due to
fire, tornado, weather conditions, water
from any source or other
causes. The Exhibitor warrants that they
have in effect and shall
maintain for the period of the agreement
for the mutual benefit
of both parties a policy of general public
liability insurance
against claims for personal injury or death
or property damage
occurring upon, in or about the herein
rented premises, in
limits of not less than $1-million. It is the
responsibility of the
Exhibitor to provide the Expo with a copy
of certification and
proof of $1 million in liability insurance
coverage with the
Central Plains Dairy Expo listed as additional
insured by March 1.
Exhibitor agrees to indemnify and hold
harmless from any loss,
damage or expense of whatever natural
on account of claims for
damage to persons or property caused
wholly or partially by
Exhibitor or employees of Exhibitor, agents,
subcontractors or
volunteers, in connection with the leasing of
the space described in
this contract. Exhibitors are responsible for
loss or liability from
theft, fire, storm damage or vandalism for the
display, materials and
exhibit.
Fire, Accident and
Damage Prevention
Due diligence must be
exercised to prevent fire, accidents or other
damage. This includes no
generators, open flames or smoking in any
building and using no
combustibles in display materials. Display
equipment must have the
battery disconnected and gas tank locked
or taped shut.
Termination/Penalties
Central Plains Dairy
Expo reserves the right to terminate lease due
to natural disasters,
fire, inappropriate exhibitors, policy changes
or any other reason
deemed necessary. Noncompliant or disruptive
exhibitors as determined
by the Expo may be moved, evicted, barred
from future shows and/or
other action deemed appropriate for the
violation. Expo reserves
the right to retain any pre-paid sums, seek
damages in court as well
as interest on delinquent accounts, costs of
collection and attorney fees.
